1. Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of the Securelic platform and services (“Securelic” or the “Service”) provided by Velorqa Software Ltd (“Velorqa” or “Company”). By logging into Securelic for the first time and using the Service, you acknowledge that you have read, understood and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not access or use Securelic. Securelic is intended for use by organizations and individuals for authorized cybersecurity testing activities, as described below. If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Scope of Service: Securelic is a cloud based penetration testing and vulnerability assessment platform that enables users to scan and analyze the security of computer systems and networks they own or are authorized to test. The Service provides tools to help identify potential security weaknesses in target systems. All use of Securelic must be for legitimate, authorized and legal purposes, in accordance with these Terms and applicable law.

2. Authorized Use, User Obligations and User Authorization Warranty

2.1 Authorized Systems Only: You may only use Securelic to conduct security testing (such as vulnerability scans or penetration tests) on systems and networks that you own, lease or otherwise have explicit permission to test. By using Securelic, you represent and warrant that: (i) you own or have been granted explicit, written permission to perform all tests and scans you initiate through the Service; (ii) you have the legal authority to authorize these security tests on the target systems; and (iii) all such testing will comply with all applicable laws and regulations in your jurisdiction. Using Securelic to target any system without proper authorization is strictly prohibited and is likely a violation of law. Velorqa disclaims any liability for unauthorized or unlawful testing by users (see Section 6 below) and any such activity will result in immediate suspension or termination of your account (Section 5). You are solely responsible for ensuring that you have all necessary permissions and approvals before using Securelic to scan a given target.

2.2 Prohibited Conduct: In using Securelic, you agree not to engage in any of the following activities, which are expressly forbidden:

  • Unlawful Use: You must not use the Service to engage in any unlawful activities, including but not limited to computer fraud or unauthorized access. This means you cannot use Securelic to attack, penetrate or scan any system that you are not authorized to test, nor to violate any applicable laws or regulations (such as laws against hacking, unauthorized computer access, privacy violations, intellectual property infringement, etc.). You are required to comply with all relevant computer crime statutes and cybersecurity regulations while using Securelic.
  • Abusive Behavior / Platform Misuse: You must not use Securelic in a manner that could harm, disable, overburden or impair the Service or any other systems. For example, you are forbidden from using Securelic to generate excessive traffic or unreasonable load on any networks, servers or websites (whether those of Securelic, your own targets or third parties) beyond what is allowed for legitimate testing. Additionally, you may not attempt to interfere with or disrupt the proper functioning of the Securelic platform. This includes refraining from any attempts to circumvent security measures, probe or scan Securelic’s own infrastructure without authorization or to access other users’ data without permission.
  • Malicious Content: You must not use Securelic to store, transmit or distribute any viruses, malware or harmful code, except in the controlled manner necessary for security testing of your targets. You also must not use the Service to transmit unlawful, defamatory or otherwise objectionable content.
  • Violation of Others’ Rights: You must not use the Service in a way that infringes upon or misappropriates the intellectual property rights or other rights of any person or entity. For example, you may not use Securelic to illegally obtain proprietary data or to violate privacy rights of others.
  • By using the Services, you consent to receive communications necessary for the operation and security of your account.

2.3 Compliance with Laws: You are solely responsible for ensuring that your use of Securelic complies with all applicable laws, regulations and industry standards in your jurisdiction. This includes (but is not limited to) data protection laws, privacy laws, export control laws and computer misuse laws. You acknowledge that laws governing cybersecurity testing and disclosure of vulnerabilities may vary by region and you agree to abide by all such laws. Important: If your activities on Securelic involve cross border data or systems, you are responsible for complying with all relevant international laws and obtaining any necessary approvals. Velorqa is not responsible for any misuse of the Service by users or any violations of law you commit during your use of Securelic.

2.4 Account Responsibility: You must keep your Securelic account credentials (username and password or other login methods) secure. Do not share your login information with others. You are responsible for all activities that occur under your account. If you become aware of any unauthorized use of your account or any breach of security, you must promptly notify us. We may require you to change your password or we may temporarily suspend your account if we suspect unauthorized activity.

2.5 You represent and warrant that you have obtained all necessary legal rights, permissions and authorizations from the rightful owner of any system, application, network or domain before using the Securelic platform to scan, test or assess such assets.

2.6 You acknowledge that any use of the Securelic services without proper authorization may constitute a violation of applicable laws and regulations, and you agree that Securelic shall not be responsible or liable for any unauthorized use of the platform.

3. User Content and Data

3.1 Ownership of User Data: You retain all rights and ownership of the data you or your authorized targets provide or generate when using Securelic (such as scan results, reports or any files you upload). Securelic does not claim ownership over such user content. By using the Service, you grant Securelic a license to process and store your data as necessary to provide the Service (for example, to perform scans and display results to you). This license is non exclusive, worldwide and royalty free and exists solely for the purpose of operating and improving the Service. Securelic will treat your scan results and target information as confidential (in accordance with our Privacy Policy) and will not share it with unauthorized parties.

3.2 Responsibility for Content: You are solely responsible for any data or content that you input into Securelic or that results from your use of the Service. This includes ensuring that you have the lawful right to input the data (for example, that scanning a target does not violate any agreement or law). We reserve the right (but have no obligation) to remove or disable access to any user content that we deem to violate these Terms or applicable law, at our sole discretion.

3.3 Feedback: If you provide feedback or suggestions to Velorqa regarding Securelic, we may use that feedback to improve our services without obligation to you. Any such feedback is provided entirely voluntary by you and we may use it freely and without compensation.

4. Securelic Service – Usage and Limits

4.1 Service Availability: We strive to maintain high availability and reliability of the Securelic Service. However, we do not guarantee that the Service will be uninterrupted or error free at all times. There may be occasional maintenance, updates or technical issues that lead to temporary downtime. We will endeavor to give advance notice of scheduled maintenance when possible and to resolve any outages or issues as quickly as practicable. Securelic’s performance may also depend on third-party services and internet connectivity, which we do not control.

4.2 Changes to Service: Velorqa reserves the right to add, remove, or modify features of Securelic at any time. We will attempt to notify users of major changes, especially if a change could significantly affect how you use the Service. If you do not agree with any material changes to the Service or these Terms, you must stop using Securelic. Continued use of the Service after changes are made will constitute your acceptance of those changes.

4.3 Beta Features: If Securelic offers any beta or trial features, those are provided “as-is” for evaluation purposes only, without any warranties and may be subject to additional terms. We may discontinue beta features at any time.

4.4 Usage Limits: Depending on your user status or plan (if applicable), Securelic may impose certain usage limits (for example, limits on number of scans per month or targets at one time). We will inform you of any such limits in the Service description or documentation. You agree not to circumvent or exceed the published usage limits. If you require higher usage, please contact us for appropriate arrangements.

5. Suspension and Termination

5.1 Termination by You: If you wish to terminate your use of Securelic, you may cease using the Service at any time. You may also request that we delete your account (which will be handled in line with our Privacy Policy’s data deletion provisions).

5.2 Suspension or Termination by Us: We reserve the right to suspend or terminate your access to Securelic (in whole or in part) immediately under certain circumstances: for example, if you are in breach of these Terms, if you violate our Acceptable Use rules or any applicable law or if your use of the Service poses a security risk or could subject us to liability. In less urgent situations, we will provide notice of the breach and an opportunity to resolve it before suspension/termination. However, egregious violations (such as malicious or illegal activity) may result in immediate termination without prior notice. Any violation of the authorization and use restrictions in Section 2 is considered a serious breach.

5.3 Effects of Termination: Upon termination of your account or this Agreement for any reason, you must immediately stop using Securelic. We may disable your account and prevent further access. Any data you have in the Service at termination may be irretrievable, so please ensure you have backups of your own data. Sections of these Terms which by their nature should survive termination (such as disclaimers of warranty, limitation of liability, indemnification and governing law) will remain in effect.

6. Disclaimers of Warranty

Securelic is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Velorqa Software Ltd disclaims all warranties and representations, express or implied, regarding Securelic and your use of the Service. This includes, but is not limited to:

  • No Guarantee of Results: We make no warranty that the functions or results obtained from using Securelic will meet your requirements or expectations or that the Service will find every vulnerability or security issue in the systems you test. You acknowledge that no security testing tool can guarantee to identify all possible weaknesses in a given system.
  • Availability and Accuracy: We do not warrant that Securelic will be continuous, uninterrupted or error-free or that any information obtained through the Service will be completely accurate or reliable. While we strive for accuracy in our scanning tools and reporting, all information is provided for your consideration without any guarantee.
  • Implied Warranties: All implied warranties or conditions of merchantability, fitness for a particular purpose and non-infringement are expressly disclaimed. For example, we do not guarantee that Securelic is fit for your specific security or compliance needs or that using the Service will ensure you are compliant with any standards.
  • Third-Party Components: Securelic may incorporate or rely on third-party software, tools and services. We make no warranties regarding those third-party components. Any third-party software or service’s terms and warranties apply separately as provided by those third parties.

You assume all risk as to the results and performance of the Securelic Service. It is your responsibility to verify any findings (for instance, to manually confirm a reported vulnerability) and to take appropriate remediation actions. If you are using Securelic for any critical or high-risk activities, you should have additional safeguards in place. We do not guarantee that the Service is free of harmful components, but we do implement security measures as described in our Privacy Policy.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Velorqa (Securelic) and its directors, officers, employees, agents and affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages or any loss of profits, revenue, data or business opportunities, arising out of or related to your use of (or inability to use) Securelic, even if we have been advised of the possibility of such damages. This limitation applies to any claims arising from mistakes, omissions, interruptions, deletion of files or data, errors, defects, viruses, delays in operation or transmission, any failure of performance or any other claim or loss arising from or related to the use of the Service.

In addition, Velorqa shall not be responsible for any compensation, reimbursement or direct damages arising in connection with your use of Securelic, including but not limited to: (i) your inability to use the Service (for example, due to downtime or account suspension); (ii) the cost of procuring substitute services or software; or (iii) any investments, expenditures or commitments made by you in reliance on the continued availability of Securelic.

Cap on Liability: To the extent that the above exclusions of liability are not fully enforceable in a given jurisdiction, you agree that our total cumulative liability for any claims arising under these Terms or relating to Securelic will be limited to the amount (if any) that you have paid to us for the use of Securelic in the 12 months immediately prior to the event giving rise to the liability. If you have paid nothing (for example, if the account is provided for free), our liability is capped at zero or the minimum amount permitted by law. This limitation of liability is an agreed allocation of risk between you and us and forms a fundamental part of these Terms and it will apply even if any limited remedy in these Terms is found to have failed its essential purpose.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by law.

8. Indemnification

You agree to defend, indemnify and hold harmless Velorqa Software Ltd (and its affiliates, officers, directors, employees and agents) from and against any and all claims, liabilities, damages, losses and expenses (including reasonable legal fees) that arise from or relate to: (a) your use of Securelic (including any actions you perform on or through the platform); (b) your violation of these Terms; (c) your violation of any applicable law or regulation in connection with your use of Securelic; or (d) any content or data that you scan, upload or otherwise transmit using Securelic, including any claim that such action infringed or misappropriated the intellectual property or privacy rights of a third party. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (in which case you will cooperate with us in asserting any available defenses). This indemnification obligation will survive the termination of your relationship with Securelic and these Terms.

9. User Acceptance & Data Collection Notice

  • By creating an account or using Securelic services, you acknowledge and agree that we may collect and process certain information about you.

  • Any information you voluntarily provide to us
  • Purpose of Collection
  • We collect this information to:
  • Provide and operate our services
  • Secure user accounts and prevent abuse
  • Communicate important updates and service notices
  • Improve our products and user experience
  • Comply with legal and regulatory obligations
  • By proceeding, you confirm that you have read and accepted our Privacy Policy and Terms of Use and that you consent to the processing of your information as described.

10. Account Suspension for Misuse or Unlawful Activity

Securelic reserves the right to temporarily suspend or restrict access to a user account, where there is a reasonable indication of service misuse, abuse, fraudulent activity or unlawful conduct, in order to protect platform integrity, other users, and comply with applicable laws. Where appropriate, Securelic may notify the account holder and seek clarification before taking further action.

11. Non-Destructive Use

The Securelic platform is designed to operate in a non-destructive manner.

Our services do not intentionally modify, delete, corrupt, exploit or disrupt any systems, applications or data. All security assessments are performed using safe, non-intrusive techniques intended solely for vulnerability identification and risk assessment.

12. Age Restriction

This service is not intended for individuals under the age of 18. By accessing or using Securelic, you confirm that you are at least 18 years old or have the legal capacity to enter into a binding agreement.

13. Ethical Security Testing

Securelic security tools do not perform exploit development, active exploitation, or offensive attack execution. The platform is designed solely to identify potential security vulnerabilities using ethical, lawful and industry-accepted security assessment techniques.

14. Service Model

Securelic is provided as a cloud-based Software-as-a-Service (SaaS) solution. No software installation, physical delivery or on-premise deployment is required unless explicitly stated otherwise.

15. Purpose and Ethical Use

Securelic is developed to contribute positively to the cybersecurity ecosystem. All services are intended to be used for defensive, ethical and lawful security purposes, including risk identification, compliance support and security posture improvement.

16. Limitation of Liability

Securelic shall not be liable for any indirect, incidental, consequential or special damages arising from the use or inability to use the service.

17. Miscellaneous Provisions

17.1 Changes to Terms: Velorqa may update or modify these Terms from time to time. If we make material changes, we will notify users by posting the revised Terms on our website (and/or within the platform) and by updating the "Last Updated" date at the top and we may also provide additional notice (such as by email or a notification upon login) if required by law. Any changes will become effective upon posting or as otherwise indicated in the notice. By continuing to use Securelic after the effective date of any updated Terms, you agree to be bound by the modified terms. If you do not agree to the new terms, you must stop using the Service.

17.2 Governing Law: These Terms shall be governed by and construed in accordance with the laws of England and Wales (United Kingdom), without regard to its conflict of laws principles. You agree that any disputes or claims arising out of or relating to these Terms or your use of Securelic that cannot be resolved amicably will be brought exclusively in the courts of competent jurisdiction in England and you consent to the personal jurisdiction of such courts. (If you are using Securelic as a consumer and mandatory local law grants you the right to resolve disputes in your home country, this provision regarding venue may not apply to you.)

17.3 No Waiver: Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or of the right to enforce it in the future. Any waiver of any term must be in a written notice expressly stating the intent to waive.

17.4 Severability: If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision will be interpreted to fulfill its intended purpose to the greatest extent permitted by law and the remaining provisions of the Terms will continue in full force and effect.

17.5 Entire Agreement: These Terms (together with the Privacy Policy and any other legal terms expressly incorporated by reference) constitute the entire agreement between you and Velorqa regarding your use of Securelic and supersede any prior agreements or understandings (whether written or oral) relating to the same subject matter. In case of any conflict between these Terms and any other policy or document, these Terms shall control with respect to the use of the Service (unless an additional agreement is signed between you and Velorqa that expressly overrides these Terms).

17.6 Assignment: You may not assign or transfer any of your rights or obligations under these Terms to any third party without our prior written consent. Velorqa may freely assign or transfer this agreement (for example, in the case of a merger, acquisition or sale of assets or by operation of law). These Terms will be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns.
